Agreement to Terms

By accessing or using the services provided by Cerberus Networks ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

Services Description

Cerberus Networks provides managed IT services, cybersecurity solutions, cloud services, and technical support to businesses. Our services include but are not limited to:

  • Managed IT Services and Infrastructure Management
  • Cybersecurity and Threat Protection
  • Cloud Solutions and Migration
  • 24/7 Help Desk and Technical Support
  • Network Monitoring and Maintenance

Service Agreement

Specific services will be governed by individual Service Level Agreements (SLAs) or contracts executed between Cerberus Networks and the client. These Terms supplement and do not replace any such agreements.

User Responsibilities

As a client or user of our services, you agree to:

  • Provide accurate and complete information when requested
  • Maintain the confidentiality of any account credentials
  • Notify us immediately of any unauthorized access to your systems
  • Comply with all applicable laws and regulations
  • Cooperate with our team to ensure effective service delivery
  • Not use our services for any illegal or unauthorized purpose

Payment Terms

Payment terms will be specified in your service agreement. Generally:

  • Fees are due according to the payment schedule in your contract
  • Late payments may result in service suspension or termination
  • All fees are non-refundable unless otherwise specified in writing
  • We reserve the right to modify our pricing with 30 days' notice

Intellectual Property

All content, materials, and intellectual property related to our services, including but not limited to software, documentation, logos, and trademarks, remain the property of Cerberus Networks or our licensors. You may not reproduce, distribute, or create derivative works without our express written permission.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of our business relationship. This obligation continues even after termination of services.

Limitation of Liability

To the maximum extent permitted by law:

  • Cerberus Networks shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount paid by you for services in the twelve months preceding the claim
  • We are not responsible for losses resulting from your failure to implement our recommendations
  • We do not guarantee uninterrupted or error-free service, though we strive for maximum uptime

Warranties and Disclaimers

We provide our services "as is" and make no warranties beyond those explicitly stated in your service agreement. We do not warrant that our services will meet all your requirements or that they will be completely secure from all cyber threats.

Service Termination

Either party may terminate services according to the terms specified in the service agreement. We reserve the right to suspend or terminate services immediately if:

  • Payment obligations are not met
  • You violate these Terms or your service agreement
  • Your actions pose a security risk to our systems or other clients
  • Required by law or regulatory authorities

Data Backup and Recovery

While we implement backup and recovery solutions as part of our services, you remain responsible for maintaining independent backups of your critical data. We are not liable for data loss except as specifically outlined in your service agreement.

Compliance

We will make reasonable efforts to help you maintain compliance with relevant regulations (such as HIPAA for medical clients). However, ultimate responsibility for compliance remains with you as the data owner.

Indemnification

You agree to indemnify and hold harmless Cerberus Networks from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in San Francisco County, California.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through email or a prominent notice on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
